1. Acceptance of Terms
These Terms of Use (“Terms”) are entered into by and between you (“User,” “you,” or “your”) and As You Know, PBC, a California benefit corporation (“Company,” “we,” “us,” or “our”).
These Terms govern your access to and use of:
• the Company’s public website
• the As You Know user portal, dashboards, or login areas (the “Portal”)
• any datasets, downloads, analytics tools, APIs, reports, or related services
(collectively, the “Services”).
By accessing the Services, creating a Portal account, or downloading any Company data, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering binding contracts to use the Services.
The Services are not directed to children under 13, and we do not knowingly collect personal information from them.
3. Changes to Terms
We may update these Terms from time to time. Updated versions become effective when posted.
Your continued use of the Services after updates are posted constitutes acceptance of the revised Terms.
4. Portal Accounts and Security
Certain Services require a registered Portal account.
You agree to:
• provide accurate and complete registration information
• maintain confidentiality of login credentials
• promptly notify us of unauthorized access
• remain responsible for all activity under your account
We reserve the right to suspend or terminate accounts at our discretion for violations of these Terms or misuse of the Services.
5. Data Licensing and Permitted Use
All datasets, downloadable files, analytics outputs, visualizations, and related materials provided by the Company (“Company Data”) are licensed, not sold.
Unless expressly permitted in a separate written agreement signed by the Company:
You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Company Data solely for your internal business or research purposes.
You may NOT:
• sublicense, assign, or transfer the data to any third party
• sell, resell, redistribute, publish, or publicly share the data
• provide the data to clients, affiliates, or partners for their independent use
• upload the data into any shared external database or commercial platform
• expose the data via API, dashboard, or public interface
• create a competing commercial dataset or product
• copy substantial portions of the dataset into another database
Unauthorized redistribution or relicensing constitutes a material breach of these Terms.
If you have executed a separate commercial data license agreement with the Company, that agreement controls in the event of conflict.
6. Intellectual Property Rights
The Services and all related content, software, databases, designs, text, graphics, algorithms, and trademarks are owned by the Company or its licensors and protected by intellectual property laws.
Except as expressly permitted:
• no copying or redistribution is allowed
• no reverse engineering of the platform
• no automated scraping without written permission
No ownership rights transfer to you.
7. Acceptable Use Restrictions
You agree not to:
• violate any applicable law or regulation
• interfere with platform security or performance
• attempt unauthorized access to servers or databases
• use bots, crawlers, or automated extraction tools without permission
• impersonate another individual or organization
• upload malicious code or harmful material
8. Third-Party Materials
The Services may include third-party data or links to external resources.
We do not control and are not responsible for third-party content or accuracy.
9. Disclaimer of Warranties
THE SERVICES AND ALL COMPANY DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING:
• accuracy or completeness of data
• fitness for a particular purpose
• uninterrupted or error-free operation
• non-infringement
Your use of the Services is at your own risk.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
• lost profits
• lost business opportunities
• lost data
• reputational harm
The Company’s total liability for any claim shall not exceed the total amount paid by you for Services in the preceding twelve (12) months.
Some jurisdictions do not allow certain limitations; such limits apply only where permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, employees, contractors, and affiliates from any claims, damages, or expenses arising from:
• your violation of these Terms
• misuse or redistribution of Company Data
• your use of the Services
12. Termination
We may suspend or terminate your access immediately if:
• you breach these Terms
• you redistribute licensed data
• your use presents legal or security risk
Upon termination, all licenses granted to you immediately cease.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Any legal action shall be brought exclusively in the state or federal courts located in California, unless otherwise required by applicable consumer protection law.
14. International Users
The Company operates from the United States and maintains offices in Vienna, Austria.
Users accessing the Services from outside the United States are responsible for compliance with their local laws.
15. Entire Agreement
These Terms, together with any executed data license agreement and Privacy Policy, constitute the entire agreement regarding use of the Services.
